NORTH AMERICAN SICILIAN CONFEDERATION (CSNA)

NAME - REGISTERED OFFICE - PURPOSE

ART. 1 - Confederation of Sicilians North America

The Confederation of Sicilians North America is a non-profit organization, politically non-partisan, established in the interest of fellow countrymen residing in the North American continent, including the states of Central America, the United States and Canada. The Confederation has an unlimited duration and has an international character. The initial office is as reported in point 1, in addition to the Italian one at which the address the board of directors will have to determine from time to time.

It operates in the spirit of volunteering which finds nourishment and strength in the principles of Christian and social solidarity, carries out an intense action of assistance, social, promotional, cultural orientation, of connection and relationships with the aforementioned fellow countrymen. , of proposal and of connection with the Institutions, with the Comites, with the other Regional Associations.

It is based in 777 Lonesome Dove Trail-Hurst, Texas 76054-USA, and in Via Gaetano Lo Vullo 13, 92027 Licata (AG), and with a branch at 66-35 Myrtle Ave- Glendale, NY 11385-USA

It operates both on the Italian national territory and mainly in the United States and Canada where the population is denser but the structure is composed through the direct emanation of representatives and delegations in the remaining North American territory, i.e. the countries of Central America, the Islands. Caribbean, Mexico and Canada.

It is connected with associations, federations, clubs and member institutions that operate in Italy and abroad and especially in the North American continent.

In particular, it pursues the following purposes:

a) - directly or in collaboration with public or private institutions, promotes welfare initiatives, making itself
spokesperson for fellow countrymen,

b) - promotes and advises on cultural initiatives through debates, study conferences, tending refresher courses
to highlight the characteristics of the region that offer job opportunities in order to facilitate the emigrant

integration process without losing the positive qualities of the country of origin;

c) - manages and organizes on its own, on behalf or in collaboration with regional, national and community institutions, courses for:

- training and retraining of workers who intend to emigrate or are repatriated or immigrated to Sicily,

through the carrying out of courses aimed at employment prospects both in Sicily and abroad, including that

linguistics;

- for the reintegration of migrants, the children of immigrants into the national school system and for the insertion of

children of emigrants in the school system of the country to which they intend to emigrate, also through the implementation of

linguistic and cultural courses and their social integration in the host country;

- for carrying out refresher courses for teachers, school managers and social workers.

- for information and updating as well as linguistic and cultural promotion in favor of returning or returning emigrants

those who intend to emigrate and their families;

- it also promotes sporting and recreational activities through contacts with interested parties;

- manages the publication of books, magazines, newspapers or websites and specialized papers on emigration, both directly and at

magazines from other centers in Sicily, in Italy and abroad.

The purpose of these publications is to inform fellow countrymen about the possibility of working in Italy

            and abroad, maintaining contact between the Sicilian emigrants and their countries of origin as well as the study in general of

characteristics and perspectives of emigration, the sensitization of administrators at national and local level e

social workers as well as contacts with immigrants settled in new communities and with established emigrants

abroad and in the North American continent in particular.

It collaborates and cooperates with public and private bodies in highlighting and promoting products made in Sicily, the

return tourism, twinning and exchanges in the field of scientific research, to facilitate the involvement of young people

fellow students with connections through schools and universities between the Sicily Region and the northern continent

American. It collaborates and cooperates with the Comites, as official representative bodies of Italians abroad in

relations with the diplomatic-consular network.

The Confederation does not pursue profit-making purposes.

d) - It undertakes to promote for the total recognition of the rights of Sicilians abroad including the exercise of the vote in

loco / by correspondence,
further proposing for consideration and request for a bill to obtain representation

parliamentarian of fellow countrymen abroad at the Sicilian Regional Assembly.

ART. 2 -

The confederation maintains contact with the immigrant and emigrant populations by all possible means (radio programs, TV, cultural exchanges, conferences, via the web, newspapers etc.) including a correspondence column possibly to be published in a monthly.

- THE PARTNERS

ART. 3 -

All those who work continuously within the Confederation for the achievement of social purposes, as well as all those who are interested in the problems of migration in the professional, cultural and public institutions, are members of the Sicilian North American Confederation, as well as 'the Presidents or Legal Representatives of the Sicilian Associations located in the North American territory.

ART. 4 -

The members are divided into Founders, Honoraries, Supporters and Ordinaries.

Founding members are those present at the time of the constitution of the Confederation; they supervise the correct democratic management of the Confederation and are its guarantors.

Honorary members are those declared as such by the Governing Board of the Confederation because they have distinguished themselves for social and cultural merits, in the context of migration problems, and for professional and extraordinary merits.

Supporting members are all those who with financial aid contribute to the sustenance of the Confederation.

Ordinary members are all those who are interested in the problem of migration, join the Confederation with a resolution of the Board of Directors, they fully accept the Statute and the regulations of the Confederation.

ART. 5 -

Members who do not respect the regulation and do not pay the registration fee, if the Board of Directors decides a registration fee, are declared forfeited with a provision of the Board of Directors.

ART. 6 -ORGANS OF THE CONFEDERATION - DUTIES AND FUNCTIONS

The bodies of the Confederation are:

- THE SHAREHOLDERS 'MEETING

- PRESIDENT

- THE DIRECTIVE COUNCIL

- THE EXECUTIVE JOINT

- THE VICE PRESIDENTS

- THE TREASURER

- THE SECRETARY

ART. 7 - SHAREHOLDERS 'MEETING

It is the highest deliberative body of the Confederation, it establishes the general direction of the Confederation and proceeds to the election of the corporate offices.

It is distinguished in:

a) - ordinary, to be held every 12 months, for the approval of the report on political and administrative activities, to establish them

general guidelines and for the election of corporate offices;

b) - extraordinary, for amendments to the articles of association and / or the Statute, for the dissolution of the Confederation, any

whenever the President deems it appropriate or is requested by at least 1/3 of the shareholders;

c) - is duly constituted with the presence of half plus one of the shareholders on first call and with only those present in

second call;

d) - votes and resolutions are always adopted by a majority of those present;

e) - is convened by the President at least 10 days before the session by means suitable for guaranteeing receipt of the invitation from

participation and the agenda relating to the topics to be discussed;

f) - elects the President and the Board of Directors every two years by majority vote, who can be re-elected.

g) - the minutes of the Assembly are signed by the President and the Secretary;

h) - all votes within the Assembly are carried out by roll call, or by secret ballot at the request of

1/3 of the members of the Body.

ART. 8 - THE PRESIDENT

Legally represents the Confederation before third parties, in court and in any relationship.

He convenes and chairs the meetings of the Executive Council, the Board of Directors and the Assembly of members.

He has the social signature and is authorized to collect sums from public and private bodies by issuing receipts and to provide for the payments and expenses of the Center.

In case of urgency, it can take measures within the competence of the Board of Directors, unless ratified by the same in the first meeting.

He is elected by the Assembly every two years.

ART. 9 - THE DIRECTIVE COUNCIL

It is made up of a minimum of three (3) and a maximum of 24 members elected by the Assembly and remains in office for 3 years. It is chaired by the President.

The Board of Directors approves the annual, final and budget budgets, implements the resolutions of the Assembly, decides on the admission of new members, approves the programs and initiatives of the Confederation, elects the two Vice Presidents, the Administrative Secretary, the Director and the Responsible for the periodical and the website of the Confederation and one of its members who will be part of the Executive Committee.

It is convened by the President normally every 12 months or, if necessary, by the President, or half plus one of the members of the Board of Directors itself.

It issues the internal regulations of the Confederation.

It deliberates the convocation of the ordinary and extraordinary General Assembly.

Voting takes place in accordance with the provisions of Art. 7 letter h) of this statute.

ART. 10 - THE EXECUTIVE JOINT

It is made up of the President, the two Vice Presidents, the Administrative Secretary, the Head of the Center's periodical, the Director and a member of the Board of Directors.

It takes care of the financial management, prepares the final and budget balance of the Center, assists the President in the implementation of the programs and initiatives approved by the Board of Directors or by the Members' Assembly.

ART. 11 - THE VICE PRESIDENTS

Upon express delegation of the President, two Vice Presidents replace him, jointly or severally in the event of his absence.

ART. 12 - THE TREASURER

He is elected by the Steering Committee from among its members.

It takes care of the administrative management of the center and the accounting books.

ART. 13 - THE DIRECTOR / Press officer and PR

It prepares the activity programs of the Confederation and carries out the resolutions of the President and of the administrative bodies.

Maintains relations with other associations and with public and private bodies.

He is appointed by the Board of Directors and participates in the work of the Executive Committee and the Board of Directors.

He is responsible for the website and for the periodical.

HONORARY OFFICES:

The Board of Directors can confer honorary positions with the title of Emeritus and Honorary President to those people who have distinguished themselves in contributing and guiding in the achievement of the goals and objectives set by the organization. They do not have the right to vote.

ART. 14 - EQUITY - REVENUE - FINANCIAL STATEMENTS

The Confederation's assets consist of:

a) from movable and immovable property in any case acquired by the Confederation;

b) ordinary contributions from members;

c) from contributions and grants received from institutions, public bodies, associations and private individuals.

All the revenues of the Center (with the exception of any reserve funds) will be devolved entirely and exclusively to the achievement of the aims of the Confederation.

ART. 15 - FINANCIAL YEAR

The financial year coincides with the calendar year.

By December 31st, the Board of Directors approves the budget and the final balance by March 31st.

ART. 16 - AMENDMENTS TO THE BY-LAWS

Amendments to this Statute can be brought by the Assembly with the presence of 2/3 of the registered members on first call and 1/3 of the members on second call, and with the favorable vote of the majority of those present.

ART. 17 - REGULATION

The General Assembly, on the proposal of the President, may adopt any regulatory provisions necessary and appropriate for the functioning of the Confederation.

ART. 18 - DISSOLUTION

The dissolution of the Association is approved by the Assembly, which will appoint one or more liquidators and decide on the devolution of the assets.

ART. 19 - DISPUTES

All possible social disputes between members and between them and the Confederation or its bodies will be referred to a panel of arbitrators composed of three members, one of which is appointed by each of the parties and the third by the first two by mutual agreement.

ART. 20 - DURATION

The Association has an unlimited duration.

ART. 21 - FINAL PROVISIONS

For anything not covered by this Statute, reference should be made to the provisions of the law on the subject.
